Receipt and Agreement to provide Investigative Services

1. This agreement is entered into between, John Doe, Esq. Law Offices of John Doe, 123 Main Street, Central City, CA; hereinafter called CLIENT, and Attorneys’ Investigative Consultants, hereinafter called AIC.

     1.1. AIC warrants that it is a Private Investigative agency, duly licensed under the laws of the State of Nevada and in the  business of providing a variety of investigative service

     1.2. CLIENT desires to retain AIC to provide investigative services.

2. The SUBJECT of this investigation is Richard Roe DOB: 01/09/48.

     2.1.Background and Relevant Information – Client is trying to locate SUBJECT in connection with an estate matter.           SUBJECT was last known to reside in Denver, CO in 1970. He has no known living relatives.

3. The object of this investigation is to locate SUBJECT.

4. The investigation is to commence upon receipt of a signed contract and the Fixed Fee set forth in paragraph 6, below.

5. On this date AIC received from CLIENT, an advance fee of $500.00 (Five-Hundred Dollars), in the form of the credit card voucher set forth in paragraph 6.2 below, to be applied against any amount which CLIENT may come to owe AIC under this agreement or under other agreements.

     5.1 CLIENT elects to use a credit card to pay the advance fee. Yes [x] ; No [ ](Complete the following only if a credit card will be used to pay the advance fee.)

6. AIC agrees to conduct this investigation for a flat, all inclusive, Fixed Fee of $500, (Five-Hundred Dollars), regardless of the cost to AIC. This Fixed Fee, paid in advance by CLIENT, shall become the property of AIC, if AIC performs "the investigative service", on or before the "Due Date".

     6.1. AIC shall be deemed to have provided "the investigative service" when it provides CLIENT with any one of the        following: (All items with the box checked like this [X] apply.)

          6.1.1. [X}The physical location of SUBJECT’S current residence.

          6.1.2. [X] The physical location of SUBJECT’S current business or place of employment

          6.1.3. [X] A phone number for SUBJECT’S current residence..

          6.1.4. [X] A phone number for SUBJECT’S current business or place of employment.

          6.1.5. [  ] A post office box or other address where SUBJECT currently receives mail, but at which SUBJECT does            not necessarily reside or work.

          6.1.6. [X] Credible evidence that SUBJECT is deceased.

          6.1.7. [X] An opportunity for CLIENT to talk by phone with SUBJECT.

          6.1.8. [  ] Verified delivery of a message, from CLIENT to SUBJECT, without CLIENT being provided an address            or phone number.

          6.1.9. [  ] An opportunity for CLIENT to meet face to face with SUBJECT at a location selected by SUBJECT             within the city or county in which SUBJECT lives or works, without CLIENT being provided an address or phone            number.

           6.1.10 [  ] Verified refusal by SUBJECT to communicate with CLIENT in any manner

      6.2. The "Due Date" is established as being not later than 30 days from commencement.

      6.3. If AIC does not perform "the investigative service" on or before the "Due Date", the "Fixed Fee" will be         promptly refunded to "CLIENT".

7. The parties agree that AIC has the right to discontinue this investigation, without consultation with, or agreement by, CLIENT, at any time, regardless of the "Due Date" or the state of the investigation and without liability or penalty for any damage caused by that discontinuance. In that event, AIC will promptly notify CLIENT and refund the Fixed Fee to CLIENT.

8. CLIENT agrees to promptly notify AIC of all significant events which may have an impact upon this investigation.

9. CLIENT agrees that should CLIENT receive any of the information satisfying the criteria agreed to in paragraph 6.1 above, prior to expiration of the "Due Date", set forth in paragraph 6.2 above, or surrender of this contract by AIC as described in paragraph 7 above, that information shall be treated as if it were provided by AIC, regardless of whether the information was a result of the acts by CLIENT, SUBJECT or AIC, or others, known or unknown. In that event, regardless of the state of the investigation, the Fixed Fee shall become the property of AIC.

10. CLIENT may request AIC to discontinue the investigation at any time prior to the "Due Date". Such a request must be in writing. Upon receipt of that written request, AIC will discontinue all investigative activity. In that event, regardless of the state of the investigation, the matter will be treated as if the criteria set forth in paragraph 6.1 had been satisfied and CLIENT will forfeit the Fixed Fee to AIC.

11. CLIENT agrees that regardless of prior plans or commitments, AIC has the absolute and final authority to spend funds, deposited by CLIENT with AIC under the terms of this agreement, in any manner AIC deems appropriate to best accomplish investigative objectives.

12. CLIENT agrees that AIC is under no obligation to segregate CLIENT funds or to place them in a trust account.CLIENT further agrees that if, while in AIC's custody and control, those funds accrue interest, that interest shall be the property of AIC, regardless of the outcome of the investigation.

13. The parties agree that from time to time this agreement may be supplemented by additional written agreements for the purpose of providing additional funding, or for other reasons. This is an initial agreement.

14. CLIENT understands that from time to time during the course of this investigation it may be necessary for AIC to contact CLIENT without undo delay. In order to ensure that AIC can initiate and make such contact on a timely basis, CLIENT agrees to keep AIC advised of how such contact can be made.

15. CLIENT warrants that this investigation is not being undertaken to support ongoing or projected violations of law.

16. AIC agrees to use its best efforts, including care and attention to detail, in conducting all leads. Beyond that, investigative results are furnished without warranty.

17. CLIENT understands and accepts the fact that even though CLIENT funds are expended for Confidential Source information, AIC invoices may contain no definitive information relative to such sources. CLIENT understands and agrees with the absolute necessity of protecting investigative sources. CLIENT agrees that under no circumstances will CLIENT try to determine, or force AIC to reveal the identity or general nature of any Confidential Source.

18. CLIENT understands and accepts that aside from providing the investigative service agreed to in paragraph 6.1 above, AIC is under no obligation to provide CLIENT with any information. Nor is AIC obligated to provide a written report to CLIENT or provide any data or information developed during the course of the investigation, or any material dealing with the course of the investigation, investigative techniques or costs. CLIENT agrees that all such information and material are the exclusive property of AIC.

19. CLIENT and AIC agree that this contract is made in the State of Nevada and that Nevada law is applicable in all matters. CLIENT further agrees that if a suit is ever filed for collection under the terms of this agreement, AIC shall be entitled to a reasonable sum for collection expenses, including court costs and attorney fees, both on trial and appeal.
